Preparing a Beauty Business for Sale — A Checklist

Most owners don't wake up one day and decide to sell that afternoon. Selling a beauty, hair, medi-spa or wellness business is usually a process that starts 6–18 months before settlement — and the businesses that sell fastest, and for the best price, are almost always the ones where that groundwork started early.

Here's the checklist I walk clients through before we ever list a business for sale.

1. Get your financials in order

Buyers — and their accountants — will want to see clean, consistent records. Before you go to market:

  • Have at least 2–3 years of profit and loss statements ready and reconciled

  • Separate personal expenses from business expenses if they've been blended

  • Make sure your BAS and tax lodgements are current

  • Document any one-off costs or unusual years so they can be explained, not hidden

2. Reduce how much the business depends on you

This is the single biggest factor in both valuation and how quickly a business sells. Ask yourself: if you took four weeks off tomorrow, would the business run smoothly without you? If the answer is no, start building that out now — a trained second-in-charge, documented processes, and a team that can operate independently all make your business far more attractive to a buyer.

3. Tidy up staff and contracts

  • Make sure employment contracts, super and entitlements are all current and compliant

  • Identify which team members are likely to stay through a sale — buyers pay more for a business with a stable team

  • Resolve any outstanding staff issues before you go to market, not during due diligence

4. Review your lease

A lease with limited time remaining, or unclear renewal terms, can spook buyers or reduce your price. Talk to your landlord early about options to extend or formalise terms — this is one of the most common hold-ups in a sale, and one of the easiest to get ahead of.

5. Protect and document your client base

Client loyalty is often the real asset in a beauty or wellness business. Make sure client records, booking systems and retention data are organised and can genuinely transfer with the sale — not tied to one therapist's personal phone or memory.

6. Know your number before you list

Going to market without a clear, realistic valuation is one of the most common reasons a sale drags on or falls through. Understand what your business is genuinely worth — and what would increase that number — before you have a single conversation with a buyer.
